CommBank PERLS XIII Capital Notes IPO

Commonwealth Bank of Australia (CBA) has lodged a prospectus for CommBank PERLS XIII for an offer of $750 million, with the ability to raise more or less.

Net proceeds of the Offer will be used for general corporate purposes. The Australian Prudential Regulation Authority (APRA) has provided confirmation that CommBank PERLS XIII Capital Notes, once issued, will qualify as Additional Tier 1 Capital for the purposes of CBA’s regulatory capital requirements.

Other points are;

  • Distribution rate = (3 month BBSW Rate + Margin) x (1 –Tax Rate)
  • The margin is expected to be between 2.75% and 2.95% per annum and will be determined through the Bookbuild
  • Distributions are expected to be fully franked
  • Option for CBA to Convert, Redeem or Transfer the Notes on 20 October 2026 (approximately 5.5 years)
